This Customer Agreement (“Agreement”) is entered into between Limitless Franchise Solutions
LLC, operating as Hibachi Guru (“Company”), with its principal address at 2203 Belgrade St,
Philadelphia, PA, and the individual or entity (“Customer”) who books a private chef event
through the Company’s services.
1. Purpose and Scope

Hibachi Guru provides a lead generation service to connect customers with independent private
chefs who provide hibachi-style dining experiences (“Partners”). The Company does not provide
the private chef services directly and acts solely as an intermediary to recommend Partners to the
Customer.
2. Independent Contractors

The Customer acknowledges and agrees that:
a. Partners are independent contractors and are not employees, agents, or representatives of the
Company.
b. The Company does not supervise, manage, or control the Partners’ services and is not
responsible for their actions, omissions, or performance.
3. Customer Responsibilities

The Customer is responsible for:
a. Providing accurate and complete event details (e.g., date, time, location, guest count,
allergies).
b. Directly reviewing and agreeing to the terms and conditions provided by the Partner before
confirming a booking.
c. Ensuring that the location where the event will be held is safe and complies with any local
regulations.
4. Liability Disclaimer

To the fullest extent permitted by law, the Company disclaims all liability for:
a. Any injury, damage to property, illness, or other harm caused during or related to the event
performed by the Partner.

b. Any fines, penalties, or regulatory actions arising from the Partner’s failure to obtain required
permits, licenses, or comply with applicable laws.
c. Any disputes, damages, or losses arising from the Partner’s performance or failure to perform.
5. Indemnification

The Customer agrees to indemnify, defend, and hold harmless the Company, its affiliates,
officers, directors, and employees from and against any claims, liabilities, damages, costs, or
expenses (including reasonable attorney’s fees) arising from or related to:
a. The Customer’s use of the Company’s services.
b. Any actions or omissions of the Partner in connection with the event.
c. The Customer’s breach of this Agreement.
6. No Warranty

The Company makes no representations or warranties regarding:
a. The suitability, qualifications, or capabilities of any Partner.
b. The quality, timing, or outcomes of services provided by Partners.

All services are provided “as is” without warranty of any kind, whether express or implied.
7. Limitation of Liability

Under no circumstances will the Company be liable for any indirect, incidental, special, or
consequential damages arising from this Agreement or the use of its services, even if advised of
the possibility of such damages. The Company’s total liability under this Agreement shall not
exceed the amount paid by the Customer to the Company for the referral services.
8. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard
to its conflict of law principles. Any disputes arising under this Agreement shall be resolved
exclusively in the state or federal courts located in Philadelphia, Pennsylvania.
9. Miscellaneous

a. Entire Agreement: This Agreement constitutes the entire understanding between the parties
regarding its subject matter and supersedes all prior agreements or understandings.
b. Severability: If any provision of this Agreement is found to be unenforceable, the remaining
provisions shall remain in full force and effect.
c. Modifications: The Company may update or modify this Agreement at any time by providing
notice to the Customer. Continued use of the Company’s services constitutes acceptance of such
modifications.
10. Acceptance

By booking an event through Hibachi Guru, the Customer acknowledges that they have read,
understood, and agreed to the terms of this Agreement.
11. Media Usage Rights
By booking an event through Hibachi Guru, the Customer grants the Company the right to use
any photos, videos, or other media captured at events booked through the platform for marketing
and promotional purposes. The Customer acknowledges and agrees that:
a. The Company may use such media in various formats, including but not limited to social
media, websites, advertisements, and other marketing materials.
b. The Customer waives any rights to review or approve the final use of the media.
c. The Customer will ensure that event participants are informed of and consent to the potential
use of their likeness in any such media.
